MCA Update: Board Meeting Time-Frame Extension Through Video Confrencing or other Other Audio Visual Means

In Exercise of the Powers Conferred by Section 173 177, 178 and Section 186 read with Section 469 of the Companies Act , 2013 ( 18 of 2013 ) the Central Government hereby makes the following rules further to amend the companies ( Meetings of Board and its Powers ) Rules 2014, by the Insertion of  Companies (Meetings of Board and its Powers) Second Amendment Rules, 2020 has extended the Time Frame for Conducting the Board Meetings through video Conferencing or Other Audio Visual Means giving Special Powers or privilege on the account to cope up with Pandemic Covid-19 Situation for following matters Not to be Dealt With in a Meeting Through Video Conferencing or Other Audio Visual Means up to 30th September 2020 as stated in the Rule 4 of Chapter XII The Companies (Meetings of Board and its Powers) Rules, 2014

  1. the approval of the annual financial statements;
  2. the approval of the Board’s report;
  3. the approval of the prospectus;
  4. the Audit Committee Meetings for  [consideration of financial statement including consolidated financial statement if any, to be approved by the board under sub-section (1) of section 134 of the Act]; and
  5. the approval of the matter relating to amalgamation, merger, demerger, acquisition and takeover.
